Terms & Conditions
These Terms & Conditions (“Terms”) govern any website design, redesign, development, or support service (“Services”) provided by WPFlat (“we,” “us,” “our”) to a client (“you,” “your”). WPFlat is a brand of Digitalzooks LLC (USA) and Digitalzooks LTD (Nigeria); depending on your location, your project is contracted with whichever entity applies. By booking a discovery call, approving a quote, or making a deposit payment, you agree to these Terms.
This document has three parts. Part 1 applies to every client. Parts 2 and 3 apply depending on which kind of service you're using, so use the pills above to jump to the part that's relevant to you.

Part 1
General Terms
Applies to every client, whether you're doing a one-time project, a retainer, or both.
1.1 How We Work Together
Every engagement starts with a short discovery call, where we scope what you actually need, confirm pricing, and make sure our working style and values are a genuine fit for both sides. Nothing is billed or committed to before this conversation happens.
1.2 Projects We Don't Take On
We're selective about who we build for, based on our values. We currently don't take on projects for:

This isn't a reflection on any of these industries. It's simply where we've chosen to draw our own line, so we can focus on the kind of work we do best. If you're unsure whether your business fits, our discovery call is the easiest way to find out, with no awkwardness either way if it turns out we're not the right match.
1.3 Sabbath Observance
As Sabbath-keepers, we observe a weekly rest period from Friday 5:30pm (GMT) to Saturday 6:30pm (GMT). During this time, we're not available for any communications, meetings, or work-related activities, including emergencies, unless it's a matter of life and death.
Please plan accordingly, and make sure any urgent matters are communicated before Friday 5:30pm or after Saturday 6:30pm GMT. This observance is a fundamental part of our faith and business practice. We resume normal business operations on Sunday morning.
1.4 Third-Party Provider Costs
- Hosting, domain registration, and email services (Google Workspace, Zoho, or others) are not included by default in any package or retainer. You can either purchase these through us (see pricing page for current rates) or provide your own and grant us access.
- If you provide your own hosting, we're not responsible for outages, performance issues, or downtime caused by that hosting provider.
- Prices for third-party solutions we pay for on your behalf are set by those providers and are subject to change at their discretion. We pass on their current rate at the time of purchase or renewal; we don't control or guarantee it staying fixed.
- If a request during a project or an ongoing retainer causes a provider to charge us more (e.g. upgrading a hosting tier, adding mailboxes beyond a free plan, switching providers), we invoice you separately for that difference. Depending on the situation, we'll either invoice you before making the change or, where there's established trust, go ahead with the change and invoice shortly after.
1.5 Ownership
- Once a one-time project is paid in full and delivered, the completed website, including its design, content, and files, belongs to you.
- Any third-party assets used (stock photography, licensed plugins, fonts) remain subject to their original license terms, which we'll disclose where relevant.
- WPFlat retains the right to reference completed projects in our portfolio and marketing materials unless you request otherwise in writing.
1.6 Confidentiality
Any business information you share with us during the discovery call or an engagement (financials, internal processes, unreleased branding) is kept confidential and used only for the purpose of delivering your project or retainer.
1.7 Limitation of Liability
- We build and maintain websites to a professional standard, but we don't guarantee specific business outcomes (traffic, sales, rankings) resulting from the website itself.
- We're not liable for losses arising from third-party service outages (hosting providers, payment gateways, email providers) outside our direct control.
- Our total liability for any claim related to a project or retainer is limited to the amount paid for that specific project or retainer.
1.8 Changes to These Terms
We may update these Terms from time to time. Continued use of our Services after an update means you accept the revised Terms. Material changes will be communicated directly to active clients.

Part 2
One-Time Projects
Applies to Website Design, Website Redesign, and WordPress Development (Online Store, Course Platform, Membership Site). Part 1 also applies to you.
2.1 Pricing & Payment
- All published pricing is per the current WPFlat pricing page at the time of booking, in the currency applicable to your region (Nigeria, Zambia, or Rest of Africa & Beyond).
- A 60% deposit is required to begin work. The remaining balance is due once you approve the final work, before the site is transferred or made live.
- “Starts from” pricing reflects a standard-scope project. Anything beyond that standard scope is quoted separately after the discovery call, and no work begins on the additional scope until that quote is agreed.
- Prices are subject to change, but any price you've already agreed to in writing (quote or invoice) is honored regardless of later updates to the public pricing page.
2.2 Content Responsibility
Unless copywriting is purchased as an add-on, you're responsible for providing final page content (text, images, branding assets) in good time to avoid delaying your project.
2.3 Project Timeline
- Estimated turnaround times are provided at quote stage and depend on project scope, how quickly you provide content/feedback, and the complexity of any custom features.
- Delays caused by late content, late feedback, or scope changes on your side may extend the original timeline. We'll communicate any impact as soon as we're aware of it.
2.4 Revisions & Scope Changes
- Each package includes a defined number of revision rounds (stated on the pricing page for that service). A revision round means you review the current draft and request changes in one consolidated round of feedback.
- Requests that go beyond the original agreed scope (e.g. additional pages, new features, a different design direction after approval) are treated as a scope change and quoted separately before work begins on them.
- Changes requested after a project has been marked complete and delivered are billed separately, unless covered under an active Retainer (see Part 3).
2.5 Cancellation & Refunds
- If you cancel after the deposit has been paid but before work has begun, the deposit is refundable minus any costs already incurred (e.g. third-party licenses purchased on your behalf).
- If you cancel after work has begun, the deposit is non-refundable, and you'll be invoiced for any additional work completed beyond the deposit amount, based on progress at the time of cancellation.
Part 3
Retainers
Applies to Business Email management and Website & Platform Maintenance. Part 1 also applies to you.
3.1 Pricing & Payment
- No deposit is required. The first payment is due before the service begins, and billing then repeats on the same date each month until cancelled.
- Retainers auto-renew monthly. There's no fixed end date unless one is agreed in writing at the start.
- If a retainer's monthly rate is a “starts from” price, we confirm your specific rate during the discovery call before the first payment is taken.
- Prices are subject to change, but any rate you've already agreed to in writing is honored until you're notified of a change with reasonable advance notice.
3.2 Included Allowance & Extra Requests
- Each retainer includes a defined number of changes or requests per month, stated on the pricing page for that service (e.g. up to 5 content changes a month).
- This allowance resets at the start of each billing cycle and doesn't carry over if unused.
- Requests beyond the monthly allowance are either billed separately per request or covered by moving up to a higher retainer tier. We'll confirm which makes more sense for your situation before proceeding.
3.3 Cancellation
- You can cancel a retainer at any time by giving us 14 days' notice before your next billing date. The retainer continues, and you continue to be billed, until the end of the current billing cycle.
- No refunds are given for the current billing period already paid, since that payment covers work and availability already committed for that month.
- We may also end a retainer with the same notice period, for example if the relationship is no longer a good fit for either side.
These Terms are a general framework and don't replace a signed project-specific agreement or Master Service Agreement where one is in place.
